Enterprise ComplianceOS – Terms of Service

Effective Date: July 15, 2026

These Terms of Service ("Terms") govern access to and use of Enterprise ComplianceOS, an AI-powered Enterprise Governance, Risk & Compliance (eGRC) platform operated by ComplianceHQ ("Company", "we", "our", or "us").

By accessing or using Enterprise ComplianceOS, you agree to be bound by these Terms.

1. Definitions

  • Platform means Enterprise ComplianceOS and all associated services.
  • Customer means the organization purchasing or subscribing to the Platform.
  • Authorized User means an individual authorized by a Customer to access the Platform.
  • Customer Data means information, documents, records, evidence, policies, reports, and content uploaded or generated within the Platform.
  • AI Services means machine-learning and artificial intelligence capabilities provided through the Platform.

2. Eligibility

Users must have authority to act on behalf of their organization and comply with all applicable laws and regulations.

3. Account Registration

Customers are responsible for:

  • Maintaining accurate account information.
  • Managing user access and permissions.
  • Protecting credentials and authentication methods.
  • Promptly notifying us of unauthorized access.

4. Subscription and Fees

Access to the Platform is provided under a subscription model.

Subscriptions may include:

  • Per-user licensing
  • Organization licensing
  • Compliance pack licensing
  • Enterprise licensing

Fees are billed according to the applicable order form or subscription agreement.

5. Acceptable Use

Customers shall not:

  • Violate applicable laws or regulations.
  • Upload malicious code or harmful content.
  • Attempt unauthorized access to systems or data.
  • Reverse engineer the Platform.
  • Use the Platform to develop competing products.
  • Abuse AI services or generate unlawful content.

6. Customer Data Ownership

Customers retain all rights, title, and interest in Customer Data.

The Company does not claim ownership of Customer Data.

Customers grant the Company a limited license solely to provide, maintain, secure, and improve the Platform.

7. AI Features

Enterprise ComplianceOS provides AI-powered recommendations, analysis, reporting, and compliance insights.

Customers acknowledge that:

  • AI-generated outputs may contain inaccuracies.
  • AI outputs should be reviewed by qualified personnel.
  • AI recommendations do not constitute legal, financial, tax, compliance, or regulatory advice.
  • Final compliance decisions remain the responsibility of the Customer.

8. Confidentiality

Both parties agree to protect confidential information using reasonable safeguards.

Confidential information shall not be disclosed except:

  • With consent
  • To authorized personnel
  • As required by law

9. Security

The Company maintains administrative, technical, and organizational safeguards designed to protect Customer Data.

Security controls include:

  • Encryption in transit
  • Encryption at rest
  • Access controls
  • Audit logging
  • Monitoring and incident response procedures

10. Availability

We strive for high availability but do not guarantee uninterrupted service.

Scheduled maintenance, upgrades, and unforeseen events may impact availability.

11. Intellectual Property

The Platform, software, designs, interfaces, workflows, AI models, documentation, trademarks, and related content remain the exclusive property of the Company.

12. Compliance Responsibilities

The Platform assists organizations in managing compliance obligations.

The Customer remains solely responsible for:

  • Regulatory compliance
  • Regulatory filings
  • Audit responses
  • Legal obligations
  • Internal approvals and governance decisions

13. Third-Party Integrations

The Platform may integrate with third-party services including cloud providers, collaboration tools, source control platforms, ERP systems, and accounting systems.

Use of third-party services remains subject to the applicable third-party terms.

14. Suspension and Termination

We may suspend or terminate access for:

  • Breach of these Terms
  • Security threats
  • Fraudulent activity
  • Non-payment

Customers may terminate according to their subscription agreement.

15. Limitation of Liability

To the maximum extent permitted by law:

  • The Platform is provided on an "as available" basis.
  • The Company shall not be liable for indirect, incidental, special, or consequential damages.
  • Total liability shall not exceed fees paid during the preceding twelve months.

16. Indemnification

Customers agree to indemnify the Company against claims arising from:

  • Customer Data
  • Regulatory violations
  • Misuse of the Platform
  • Unauthorized user activities

17. Changes

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of updated Terms.
